Affiliates refer to any legal entity controlling the Seller. Subsidiaries and branches include entities controlled by or under common control with the Seller.
The Seller limits offers and sales to professional buyers or corporate entities for business purposes only. Buyers warrant their professional status, exclusive professional use or resale, and full compliance with applicable laws for handling, storage, use, transport, and disposal of products.
This agreement supersedes prior understandings and cannot be altered by the Buyer except as specified in section 1.5. Buyers should retain a copy for reference.

Pricing Details
Prices appear in euros, pounds sterling, US dollars, or Swiss francs, excluding VAT, other taxes, and bank fees borne by the Buyer. Increases in taxes or new taxes between order and delivery fall on the Buyer.
Prices cover only product and service supply, excluding shipping, handling, duties, and customs fees unless particular terms state otherwise.
For website orders, the Seller can adjust prices and specifications anytime due to raw material shortages or cost increases from factors like exchange fluctuations, labor costs, materials, manufacturing, or law changes. Such updates apply to orders after they appear online.
In audits or inspections of facilities by Buyers or authorities, planned or unannounced, the Seller may charge an audit fee of Two Thousand Five Hundred Euros (2,500.00) per day.
